AB  - This theoretical essay is based on theories of corporate governance such as the Agency theory to
bring theoretical propositions about governance among public-private companies that in the regulated sectors
as is the case of the transport and logistics segment in Brazil. This research will also try to fill a little more the
gap in the discussion of the main aspects of the agency theory that is the assumptions about the behavior of
the shareholders and executives in the companies; delegation of authority to administrators; agency costs
resulting from the organization&#146;s decision making and management behavior control mechanisms which help
in financial sustainability in the transportation and infrastructure sector of the countries. Based on the essential
elements of this theory, corporate governance mechanisms are developed, focused on ownership structure,
board of directors and legal system, aimed at maximizing the value of the company and protecting the
investments of its owners, aiming at a better relationship of the investments and contribution of financial
resources of the private companies with the sustainable policy of the government in maintaining the sectors
of infrastructure and transport privatized. Three propositions of studies are presented that can encourage future
empirical investigations on the subject.
